These Affiliate Terms ("Terms") govern your participation in the Brainpercent affiliate program ("Program") operated by Brainpercent, LLC ("Brainpercent," "we," "us"). By submitting an application, accepting an approval, or sharing a tracking link, you agree to these Terms.
1. Eligibility
You must be at least 18 years old, hold a Brainpercent user account in good standing, and maintain a Stripe Connect Express account in a country Stripe supports for transfers. We may approve or reject any application at our sole discretion.
Sanctions compliance. By participating in the affiliate program, you represent and warrant that: (a) you are not listed on the U.S. Treasury Department's Specially Designated Nationals and Blocked Persons List (SDN List) or any other applicable sanctions list; (b) you are not ordinarily resident in, or acting on behalf of, a government or national of a jurisdiction subject to comprehensive U.S. sanctions (Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); and (c) you will not use any payout in violation of applicable export control or sanctions laws. We may suspend or terminate your participation immediately if we reasonably believe this representation has become false.
2. Commission
- Rate: 20% recurring on every payment (subscription or credit pack) made by a customer you referred, subject to the attribution window.
- Attribution window: 12 months from the referred customer's signup date. Payments after the window do not accrue commission.
- Last-click attribution: If a visitor clicks multiple affiliate links before signing up, the most recent click within 60 days receives credit.
- Self-referral: Strictly prohibited. Commissions earned on your own account or accounts you control will be voided and may result in account termination.
3. Payouts
- Schedule: Monthly, processed on the 1st of each month at 02:00 UTC for commissions matured during the previous calendar month.
- Maturation: Commissions become payout-eligible 3 days after accrual. This window allows refund processing before payout.
- Minimum threshold: US$50. Balances below this roll forward to the next cycle.
- New-account cooldown: Your first payout to a newly-connected Stripe account is held for 7 days after onboarding completion as a security measure.
- Currency + fees: Payouts are sent in USD via Stripe Connect Transfers. Brainpercent absorbs the Stripe transfer fee. Currency conversion to your local currency is handled by Stripe at the prevailing rate.
- Refunds (clawback): If a referred customer's payment is refunded after a commission has been paid to you, the corresponding amount will be deducted from your next payout.
4. Promotion Guidelines
- No brand bidding: You may not bid on "Brainpercent" or substantially similar terms in any paid search platform (Google Ads, Bing Ads, etc.).
- No spam: No unsolicited bulk email, comment spam, or deceptive social media tactics.
- No misrepresentation: You may not claim affiliation with or endorsement by Brainpercent beyond the affiliate relationship. You may not impersonate Brainpercent staff or post on behalf of Brainpercent.
- Honest claims only: Pricing, features, and outcomes mentioned in your promotion must accurately reflect Brainpercent's current product.
- FTC / disclosure: If your jurisdiction requires affiliate-relationship disclosure (e.g., FTC §255 in the US), you are solely responsible for compliance.
- Approved marketing assets. Affiliates may use Brainpercent's name and logo only in forms provided through the official affiliate dashboard or approved in writing by Brainpercent. Unapproved modifications to the logo, color scheme, or wordmark are prohibited. Upon termination, affiliates must immediately remove all Brainpercent marks from their properties. See also the trademark clause in Section 10 of our Terms of Service.
5. Tracking
Brainpercent uses a first-party cookie (bp_aff_click) with a 60-day lifetime to track referrals. The cookie value is server-issued and cryptographically signed. Affiliates may not manipulate or forge tracking cookies; doing so voids all attributions and may result in account termination.
6. Termination & Suspension
We may suspend or terminate your participation in the Program at any time for breach of these Terms, fraudulent activity, account-takeover indicators, or extended inactivity. On suspension, pending commissions are held and do not pay out until reinstatement. On termination for cause (fraud, abuse), all unpaid commissions are forfeit.
7. Tax
You are responsible for any taxes owed on commissions paid to you. Stripe Connect Express collects W-9 (US) or W-8BEN (non-US) information during onboarding and issues 1099-NEC forms where required for US-based affiliates earning over US$600 in a calendar year.
8. Modifications
We may modify these Terms at any time. Material changes affecting commission rate or payout terms will be announced at least 30 days in advance via email. Continued participation after the effective date constitutes acceptance.
9. Disputes
Any dispute arising from these Terms is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Disputes will be resolved by binding arbitration in Delaware, except where prohibited by law.
